Difference between Board Resolution and Authority letter

Dear Learned Professsionals,

Even though we have made so many baord resolution and authority letter .
But still not aware the major difference between the both. 

Can any one through light on this please ?

A Board Resolution is an authority delegated by board for any specific activity. It is Tier I authority directly delegated by Board to perform any activity.

An authority letter is simply an authorization to perform any activity which may or may not be authorized by board.

In general circumstances a BR does not carry obligation for authority letter as they are Tier II authority delegated. However in case of Authority Letter is must be duly authorized by a BR.

thank you sir for your prompt response.

But in some cases both are require like fire registration or excise registration. why this is so..

As previously stated:

"However in case of Authority Letter is must be duly authorized by a BR." Since they are Tier II delegated authority.
