Dear Anjana,

 

Please find below draft resolution. Hope it may be useful to you.

 

 "RESOLVED THAT pursuant to the provision  of Section 203 read with Rule 8 of The Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014 and other applicable provision, if any, of the Companies Act, 2013 the consent of the  Board be and is hereby accorded to appoint Mr. ____________ holding the prescribed qualification under Section 2(24) of the Companies Act, 2013 read with Rule 2(1) of the Companies ( Appointment and Qualification of Secretary ) Rules, 1988, as Whole time Company Secretary with effect from (Date) , to perform the duties which may be performed by a Company Secretary under the Companies Act, 2013 and any other duties assigned to him by the Board from time to time".

 

RESOLVED FUTRTHER THAT in terms of definition of ‘Key Managerial Personnel’ provided under Section 2(51) of the Companies Act, 2013, Mr. ____________________, be and is hereby identified and termed as ‘Key Managerial Personnel’ in relation to the Company.

 

RESOLVED FURTHER THAT the Directors of the Company be and are hereby jointly and/or severally authorized to give intimation of appointment of Company Secretary & Key Managerial Personnel of the Company as aforesaid, if necessary, to the Registrar of Companies, Mumbai, pursuant to the applicable provisions of the Companies Act, 2013, and/ or any other statutory authority as may be required and further to do all such acts, deeds, things and matters as may be necessary to give effect to this resolution.”
