Dear All

Registers can be maintained in soft format, it is additional facility/choice. but it must be in physical form, because many of registers are required to be signed by Director/M.D.

Hi

if maintaining statutory register is allowed under the IT act but it does not state anything in the Companies act then which act prevails over the other.

kindly through some light on this.

Regards,
Joshna.

Hi

It is a general principle of IOS that the law which is later in time shall prevail over the other.
Further, the statutory registers which are required to be signed by the directors can also be maintained in soft copy and when the signature is required to be affixed, one can used the DSC of the director. As per IT Act, this is completely valid.

Kalpit

As per my understanding statuory registers and other registers are suppose to keep and maintain under the Companies Act,1956, as for example: u/s 150... every company shall keep register of members etc. accordingly...

Dear Sridevi,

1. Kindly mentioned the sections which allowed under the IT Act,

Dear Kalpit,

1. Please clarify how can register be signed by using DSC

Bidu

I agree with Bidu ji we can prepare it in soft copy and take print out of that and should keep them in our records in hard copy for the purpose of inspection under the provisions of Companies Act, and then can take signature of BOD.

please correct me if i am wrong.
