can additional director be appointed as executive director

Dear Members

My query is that Can Additional dir be appointed as Executive dir in the same board meeting. and if yes, are we required to file Form-32 two times??

An Executive Director can not be appointed by the Board in the Board Meeting, because only the shareholders have power to appoint Executive Director as well as Non- Executive. But Board may appoint only Non- Executive Director.

Yeah, As per section 260 only Board has the power to appoint Addl director in their meeting.once he has regularized in the EGM/AGM then he will act as a executive director of the Board.but Board has no power to appoint exe diretor in their meeting.

Board can appoint subject to the shareholders approval.

for practical solution pass the the resolution in Bard meeting subject to the approval of the shareholders and the next AGM or EGM regularize the appointment & file form 23

Additional Director can appoint only in Board meeting,  but he can be regularise in AGM with shareholders Approval so you have file Form 32 at the time of appoint as a additional director and also when he regularise in AGM
