Resolution for Death of Director in a Private Company

Kindly provide me a draft resolution for filing Form 32, in case of death of a Director during the tenure of appointment.

"Resolved that the Board of directors of the company express their deep condolences at the untimely and sad demise of Sri.... director of the company on dtd..... and may his soul rest in peace."

Further "Resolved to place on record a deep appreciation for the valuable services rendered by Sri.... during his tenure as a director of the company from dtd..... to dtd..... "

Further Resolved that Sri……., Managing Director, be and is hereby authorized to sign and file necessary form 32 with ROC and to convey the company's condolences to the family of Sri...., the deceased director".
