Secretarial Audit - Compliance Audit

Dear Friends,
 
 
Please let me know, what is the difference between Compliance Audit and Secretarial Audit. Secretarial Audit is conducted by the company secretary. who will do the complaince audit?

Comliance Audit is a broader term as compared to secretarial audit as secretarial audit covers Companies Act, Listing Agreement but Compliance Audit covers all the acts, regulation applicable on the Company. Like a Company is in mfg of lighting products, whether complaince regarding the products, norms, factory norms, weights & measurement norms, companies act, fema, taxation, IDRA etc.

Just adding to what alka said, normally in listed companies secretarial audit is conducted quarterly to compare whether the Paid up cap is equal to total of physical + demat. In listed cos the term secretarial audit is used in this context.

Thank you, my doubt is clarified regarding the secretarial audit and compliance audit but whether the both audit is conducted by cs only?

As Compliance Audit is not statutory, it can be done by CS or Legal Dept or any other person nominated by the management. It depends on policy/practice of the company.
 
Secretarial Audit is done by Secretarial Department under the guidance of Company Secretary.

Hi All,

Though experts have well answered this query of Ms. Veena, please
allow me to express my views on the same.

I feel, the words 'Compliance Audit' and 'Secretarial Audit' are self
explanatory.

That is, a Compliance Audit can be of any department in the company,
whereas Secretarial Audit just pertains to the secretarial side of the
company, Company Law & SEBI compliances, and likewise.
One more interpretation can be, Compliance Audit is a wholistic term
whereas Secretarial Audit is a narrow term.
Fruther, Compliance Audit can be company-wide, whereas Secretarial
Audit is secretarial or legal department wide.
