Dear Friends,
 
I am working in a private ltd company and I have issued a share certificate to a foreign company on 17.01.13.  But due to MCA portal problem i cann't able to file form 2. After that i have file FC GPR to RBI due to this delay i think it is not possible to file the same at stipulated time. Any body tell mewhether it will come  RBI Compounding Application for compounding offence of FC-GPR.
 
Kindly help me to resolve the issue

RBI only says to file with it form FC-GPR on receipt of money towards shares & on allotment of shares.
Once these both r filed in time, ur job is done.
RBI is not concerned with weather u have filed form with MCA or Not

Dear Mr.venkat,

Due date for filing form FC GPR is 30 days from the date of issue of shares in accordance with paragraph 9(1)(B) of Schedule I to the Foreign Exchange Management (Transfer or Issue of Security by a person resident outside India) Regulations 2000.

And in case of failure, you need to compound the offence in accordance with the provisions of Foreign Exchange (compounding proceedings) Rules 2000, as amended.

Dear Mr Venkataragahavan,
 
Along with the FC-GPR , you have to file a certificate from the Company Secretary that all the formalities of the issue of shares have been observed with.
 
In such case , you cannot file the FC-GPR as you have not filed the form 2 with the ROC.
 
But , this is not your error and the error is due to non-working of MCA in the last 15 days.
 
You need not go for compounding and you may write to to RBI throguh your authorised dealer stating the reason and request to allow you to file the form FC-GPR .
 
Your regional RBI may grant extension or accept the belated filing the delay is not on your part.

i think filing of the f.2 is independent of filing of fc-gpr. in case form.2 is not filed, the pcs giving the certificate can just quote a statement of the company in his certificate and issue the same...
