Is board resolution required in case of DPIN application for llp partner?

The Chairman informed the Board that it is proposed to appoint Mr. HSGR, S/o. Mr. SG, as an Additional Director or a Director of the Company.  The appointment is subject to allotment of Director’s Identification Number (DIN) to the applicant / proposed Additional Director / Director.  The Chairman informed that to obtain DIN, e-Form DIR-3 has to be filed and the same has to be digitally signed by one of the Directors of the Company.  After due discussion, the following Resolution was passed:

 

“RESOLVED THAT, subject to allotment of DIN, Mr. HSGR, (holding PAN ABCDEF2234G) be and is hereby proposed to be appointed as an Additional Director or Director of the Company, pursuant to him obtaining the DIN.

 

RESOLVED FURTHER THAT any of the Directors of the Company be and is hereby authorized to digitally sign e-Form DIR-3 and to upload the same for the purpose of obtaining DIN for Mr. HSGR."

I am using this Resolution, hope it serves the purpose.
