Alter MOA of Section 8 Co.

Kindly suggest there is one section 8 Co.. At the time of incorporation profit clause has been inserted bymistake. Now we want to alter moa of that sec 8 co., So, what is the procedure.

As per Section 8(4), for any alteration of Memorandum or articles of Section 8 company prior approval of Central Government has to be taken. As per MCA's notification dated 21/05/2014, the power under this sub-section is delegated to ROC. therefore, you need to follow following procedure for alteration of Memorandum of Section 8 company:

1. Convene Board meeting 

     -to consider the alteration of Memorandum of company.

     - Authorise someone to file GNL-1 for application to ROC for prior approval.

2. On reciept of approval convene Board meeting to fix the date of EGM for alteration of Memorandum.

3. Draft Memorandum for approval of members.

4. Pass the Special Resolution in EGM.

5. File MGT-14 within 30 days.
