Requirements for Form DIR-12

Dear Sir,

We have filled the Form DIR-12 on MCA portal but it is rejected with following comments i.e. "Invalid not taken on record".

We have attached the following documents on the MCA portal while filling Form DIR-12

1. Board Resolution for removal of old director and appointment of new director 

2. Notice of Board Meetings

Apart from the above documents, what all other documents are required?

Further, we have given notice of board meetings to directors by hand. For this, what can we attach to the MCA portal ??

Removal of director can only be done after passing an ordinary resolution and after providing him a reasonable opportunity of being heard. 

Process of removal is different and accordingly, attachments are attached in the form. For removal of Director, DIR-12 is non STP.

It should be dealt  separately

1.Removal of  Director( can  be  done  only  at  General  Meeting)

2. we  presume  it  is  resignation of Director

It should be filed  separately

Second  case  appointment  of Direcotor

Board  resolution  

consent  to  act  as  director
