Urgent query-section 297 of the Companies Act, 1956

Dear All,

An Indian Pvt. co. entered into contract in February, 2014 with the Foreign Co, in both of the Cos, there is one common director and shareholders, now my query is whether section 297 of Companies Act, 1956 is applicable in this case..because Section 297 talks about company but foreign company fall under Body Corporate..
