Shifting of Registered office within same city

Dear Members,

As we can shift registered office of a company within the same city by passing a board resolution and only requirement is passing of board resolution & filing form 18 to ROC.

My concern is:

1. Whether two or more companies can have similar registered office address?
2. Whether one company can shift its registered office to the address of plant office of another company?

Pls share your views.

Pint wise reply is give below:

 

1. Yes the tow company can have the same registered office address. It is no were mentioned in the Co. Act that the two or more company cannot have the same registered office address; 

 

2. Secondly, Yes, it can shift its office to the address of another plant office address.

Suppose there r 2 companies, Company A & Company B.

Company A is having plant office & Registered office at same place and same address i.e. Jaipur.

Company B is having plant in Jaipur & Registered office in Delhi.

Company A has sold out his plant, but for future prospects it wants to keep its existence and want to shift its registered office at plant office of Company B at Jaipur.

This is the actual situation.

Can Company A shift its registered office to the address of plant office of company B located at Jaipur?

If yes, what is the procedure?

It is as simple as shifting of regd office within same city, pass a BR and File Form 18 to ROC and there is no any problem under Companies Act, 1956 .

Yes, the Company A can shift its registered office to the plant address of Company B.

 

Simply pass the Board Resolution and file Form 18 with the Registrar.
