QUERY REGARDING RESUBMISSION OF SPICE FOR INCORPORATION

Dear Fellow CS,

I have filed Spice form with e-AOA, e-MOA & AGILE. And 1st time I got query as follows:

DIR-2 should be provided as per rule 17 of the Companies (Incorporation) Rules, 2014 and its format should be as per
rule 8 of Companies (Appointment and Qualification of Directors)Rules, 2014.There is mis-match of registered office
address mention in spice-32 with attached  utility bill. Main objects should be provided in sentence form(avoid
capital letters).

Then after I sorted out the query and again re-submitted the form. Then again I got the query as follows:-

1. Registered Office proof (the proof of evidence of any utility service like telephone, gas, electricity, etc.) 
should be attached and it should not be older than 2 months as per rule 25(2)(d) of the Companies (Incorporation) 
Rules, 2014. Attached address proof is mismatched from SPICe form.
2. NOC should be given and signed by the owner of 
registered office premises i.e. by person whose name is mentioned in utility bill. In case of body corporate, NOC 
should be by way of BR on the letter head duly stamped & signed. 

Now my query is that, I have attached utility bill dated 20th April 2019 which is in the name of a partnership firm.

Also I have mentioned the same address as mentioned in utility bill in SPICE form.

And the NOC for registered office address which I have attached has been signed by one of the partner of that partnership firm. And I have attached one sale deed with the SPICE form which specifies that the registered office has been owned by the partnership firm (which specifies the name of partner).

I think my form is perfect in all respect. I dont know where to correct now. because this is the last chance for re-submission.

Kindly guide.

To avoid this please select “NO” at “Whether the registered office and the Communication address are same?” so you need not to attach any proof of address for registered office and resubmit the Spice Form.  You can put the desired registered address as communication address so that it would be mentioned in Incorporation Certificate.

 

Once the company gets incorporated then within 1 month you can file INC 22 for registered office with providing all proof according to their requirement.

 

By this atleast you can avoid cancellation of Spice form since this is the last chance of resubmission.

You cannot select NO in the resubmission. As mentioned in the remarks please take NOC by way of BR (still it is a partnership-you can write as partners meeting).

“NO” can be selected in the resubmission. There is no harm.  The resubmission form shall be treated as a fresh farm.   Only difference is that you need not to pay ROC fees again.

 

This is the safest route this time to get the COR fast.

I done practically for 2-3 companies..the form won't allow you to select NO. 

Don't know any recent changes in the form
