Board Resolution Format

Dear Experts,

I need a format of Board Resolution for Closing of Liaison office of foreign company in India which requires to be submit with Form-52.

Actually that company was regd with ROC in 1995, and get closed with the same year, but they didnt intimated ROC.. and now after consulting with ROc they are saying to file Form 52 in back date with an additional fees. and saying to add these matters...

We have been complied with Sec 592, and the operation of company was not started in that year so we decided to closed the operations from India.

Please help me... i am very confused..!!

actually the case is different from the normal cases. the foreign co is an airlines and it was redg with ROC in 1995 and get closed the business operations within the same year.. say within the 15 days due to some personal reasons.and the co didnt go with the filing of the documents as there were no commercial flights operations taking place from/to India. However the registration no was omitted to be surrendered back again a fresh regtn was taken without being known that the earlier registration was still valid and the same was not even mentioned and made a note by ROC.

And yesterday i visited ROC office and they said just pass a board resolution mentioning that we were established in year.... and we complied sec 592 and now ...

I need that format. by mentioning all that contents... and also should i pass this resolution in back date... or in the current date.

Please help ...
