Can anyone provide me the Ancillary and Incidental Objects of a Hospitality Services (With Main Objects of Hospitality Services)

[B]     The objects incidental or ancillary to the attainment of the above main objects are:

 

  1. To establish, provide, maintain and conduct or otherwise subsidize research, laboratories and experimental workshop for scientific and technical research and experiments and undertake and carry on all scientific and technical research experiments and tests, undertake and promote studies and research both scientific and technical investigations and inventions by providing subsidy or assisting laboratories, workshops, libraries, lectures, meetings and conferences and providing for remuneration of professors and teachers and generally to encourage, promote and reward studies, researches, investigations, experiments, tests and inventions of any kind that may be considered likely to carry on or assist any of the business which  Company is authorized to carry on.

 

  1. To purchase take on lease or in exchange, hire or otherwise acquire any movable or immovable property and any right or privileges which the company may think necessary or convenient with reference to any of the objects for which the Company is established.

 

  1. To hire, lease or purchase land either with any other person or company or otherwise and to construct buildings thereon or on any land already leased or owned by the Company.

 

  1. To borrow on the security of all or any of the assets of the Company by way of mortgage or hypothecation thereof, any sum that may become necessary as may be deemed expedient by the Company for the purpose of carrying on or furthering the objects of the company.

 

  1. To lend and advance money or give credit to such persons or companies and on such terms as may seem expedient and in particular to customers and others having dealing with the Company and to guarantee the performance of any contract or obligation and the payment of money to any such person or companies and generally to give guarantee and indemnities.

 

  1. To draw, make, accept, endorse, discount, execute and issue promissory notes, bills of exchange, bill of lading, debentures, dock warrants, warehouse warrants and other negotiable or transferable instruments or securities or documents of title to goods for purpose connected with objects of the company.

 

  1. To invest and deal with the money of the Company not immediately required, upon such securities and on such terms and conditions and in such manner as may from time to time be determined.

 

  1. To distribute among the members in Specie, any property of the Company, whether by way of dividend or upon a return of capital, in the event of its being wound up so that no distribution amounting to a reduction of capital shall be made, except with the sanction and in accordance with such other terms or conditions as may for the time being required by law.

 

  1. To engage, employ, maintain and dismiss Working Directors, Managers, Superintendents, Assistants, Clerks, Mechanics, Coolies and other Servants and Labourers.

 

  1. To enter into any arrangement with any Authorities, Government, Municipal, Local or otherwise, that may seem conducive to the Company’s objects or any of them and obtain from any such authority, any rights, privileges, rebates and concessions which  the company may think it desirable to obtain and to carry out, exercise and comply with such arrangements, privileges  and concessions.

 

  1. To sell or dispose of the property, business or undertaking of the Company of any part or branch or particular activity there of, for such consideration as the company may in its discretion think fit and in particular for shares, stocks, debentures or securities of any  other company.

 

  1. To pay for the acquisition of any land, property, business, concessions, rights or privileges, purchased or acquired by the company or for any services rendered to the company or to discharge any consideration to be paid or given by the Company in money or shares, whether fully paid up or partly paid up, in debentures stock or other obligations of the company.                                                                                                         

 

  1. To pay all or any part of the expenses or royalty, servicing charges, commission, for and incidental to the promotion, formation, establishment and registration of the company or of any company, whether promoted, formed, established or registered by or on behalf of the company otherwise and all commission, brokerage, discount, underwriting and other expenses as lawfully payable which may be deemed expedient for taking, placing or underwriting all or any of the shares or debentures or other obligations of the Company of any such other company.

 

  1. To open an account or accounts with any individual, Firm or Company or with any Bank, Bankers and to pay in or withdraw money from such account or accounts.

 

  1. To create any reserve fund, insurance fund or any other special fund whether for depreciation or for repairing, extending or maintaining any of the property of the Company or for any other purposes conducive to the interest of the Company.

 

  1. Subject to the provisions of the Companies Act, 1956, to place to reserve or to distribute as dividends or bonus shares among the members or otherwise to apply any money received by way of premium on shares or debentures issued at a premium by the Company and any money received in respect of dividends accrued on or arising from the sale of forfeited shares.

 


(C)  The other objects for which the Company is formed are:

 

  1. To carry on business as producers, manufacturers, procesors, convertors, refiners, bottlers, stockists, dealers, importers, exporters, traders, retailers, agents, buyers or sellers of oxygen, acetylene, ammonia, carbon dioxide, nitrogen, hydrogen, helium and other types and kinds of gases required for or used in industries, agriculture, clinics, hospitals, refrigeration, aviation, transport vehicles, space rockets, objects, media, power plants, domestic or public lighting, heating, cooling or cooking purposes, lighters, plant producing waters, chemicals or fuels, pesticide, defense or warfare establishments, horticulture, forest or plant protection and growth and other allied purposes and to service, repair, manufacture, market or deal in machineries, plants, spares, cylinders, containers, gadgets, appliances and accessories required for, working on, using or producing any of such gases and products.

 

  1. To carry on the business of manufacturers, exporters, importers, dealers and merchants of vegetable products, tallow, serine, fatty acids, acetylene gas, starch, glucose, margarine, shortening compounds, cooking mediums, salad oils and refined oils and all other allied products and bye-products and the preparation of all or any of the said products or substances and the sale of all the aforesaid substances and products.

 

  1. To carry on the business as manufacturers, suppliers, stockists, manufacturers’ representatives, traders, dealers, importers, exporters, factors and agents of all classes and kinds of medicinal apparatuses, instruments, appliances, injections and tools required by physicians, surgeons, doctors, consultants, dentists, orthopedicians in their respective professions.

 

  1. To carry on the business of manufacturers, producers, importers, exporters, buyers, sellers, stockists, suppliers, wholesalers, retailers, jobbers, contractors, repairers, cleaners, warehousers, hirers and lessors of all types of glass including glass equipment, laboratory glass equipments, pipelines glass components like plain sections, spacers, reducers, bends, Y pieces, T pieces, joints, glass components valves, glass tubes, glass vessels like reactors, reboilers, receivers, separators, measuring vessels, glass made stirrers, agitators, specially designed glass heat exchangers, columns, plain or coloured sight glasses, glass machines and plant and machinery and domestic wearers made of glass and spares, components and accessories thereof.

 

  1. To carry on business as manufacturers, producers, growers, fabricators, processors, refiners, stockists, agents, importers, exporters, traders, wholesalers, retailers, distributors, concessionaires or dealers of drugs, medicines, spirits, mixtures, tonics, pigments, powder, tablets, pills, capsules, injections, compounds, mother tinctures, triturations, globules, creams, scents, soaps, lotions, shampoo, toilet goods and all kinds of pharmaceuticals, cosmetics and medical preparations required or used in homeopathic, allopathic, ayurvedic, unani or nature cure or any other medicinal system or branch of medicine or as beauty aid or personal hygiene, whether for human, animal, birds, insects for whatever purposes, such as prevention, curation and nourishments.

                       

  1. To act as technicians, advisers and consultants for companies and others engaged in the manufacture and marketing of engineering and medical products of all kinds.

 

  1. To act as technical advisers, engineers and contractors on  matters pertaining   to procuring, testing, processing,  erection,  commissioning, maintenance and servicing of plants, equipments, machineries and projects or industries engaged in manufacture of engineering products, medical products, cement, yarn, fabric garments, chemical products, food products and soft drinks, baby foods, chocolates and confectionery, paper products, edible oils, and oil refineries.

 

  1. To carry on either alone or with any  person  or company the business of sub-contracting/ consultancy/ servicing of equipments relating to engineering and medical products  in India and or in foreign countries.

 

  1. To act as technical advisers, engineers and consultants for companies and others engaged in Information Technology, software, communication systems, components for such systems, consumer electronics and electrical goods and components for such goods.
