You mean to say, first i have to take a approval and then next FY onwards we have to do file MSC 3. Right?

First an application in Eform msc1 needs to be made, once the form is approved, certificate confirming dormant status of the company will be generated.

What is the status of the company now? is it active or dormant?

In my case, the MSC 1 was approved, quite inexplicably, on the straight through mode. As a result, no certificate was issued, though the ROC is bound to issue one. I raised a ticket and till date nothing has happened. In the MSC 3, you need to mention the  date of issue of the certificate and according to the Help file, that is supposed to be prefilled. But, when I filled the Form last December, I was able to fill the date. In the absence of the certificate, I entered the date of approval of the MSC 1 and attached a Note to that effect. Apart from that, I just attached the Balance Sheet in the usual Form signed by the Directors and the Auditors and the Board Resolution.  The MSC 3 was approved without any fuss, but after a great struggle, involving a direct mail from me to the Secretary, MCA. At her instance, the Infosys person got in touch with me and only after he solved the technical problem with the Form, I was able to upload. I suppose that problem would no longer be there. Please share your experience in filing this Form, which is already delayed by nearly 5 months..

After filing msc 1 u can check next day view public doc facility available in MCA for the certificate for the status of dormant company

Status is Active. because co has alrdy done annual filing till 2014.

Thank you Mr. Rajagopal for the useful information. Certificate for dormant company will be available as rightly said, by means of inspection. Depreciation for dormant company is to be charged as per New act no?

Just to confirm, you didnt attach any auditors report? I'll also share my experience once i get the necessary documents from the auditor for filing.

Kushlaji, I wanted to know if you have already converted the company to dormant status.MSC3 is to be filed only by companies having dormant status within 30 days of the end of financial year.

Well, the Certificate is supposed to be issued to the company and it is not for ROC's records. Still, as I said, no Certificate was ever generated because of the problem with the system at that point of time. You must have downloaded the Certificate when you checked the Transaction Status, as in the case of Certificate of Incorporation or alteration to the Objects Clause. In my case, the Form was processed under STP and there was no possibility of a Certificate that requires the DSC of the Registrar. As regards the attachments, I did not attach any Audit Report, just the Balance Sheet signed by the Directors and the Auditors. MSC 3 does not call for any Audit Report.

In my case also, it was not available on checking the transaction status. I had downloaded it after doing an inspection.

Auth Capital of a Pvt Co. is Rs. 2 Crore and Paid Up Capital is Rs. 10 Lac. It is a Small Co. and wants to apply for status of a Dormant Co. as it is an Inactive Co. as defined in section 455(1)(i) of CA13.

Instructions show Filing Fee as N/A against Auth Capital between Rs. 50 Lac and Rs. 500 Lac, if a Small Co. 

Please share as to how much Filing Fee is payable, or it is not payable at all.

I have one query regarding one of my pvt company:

Autho cap is 5 lacs

Paid up cap is 1 lac

incorporated on 2011

not filed annual accounts and annual return till date

status of company is strike off

Received notice from ROC for removal of name from the register of ROC

Now please guide me how to reply to the notice received from ROC.
