RESOLVED THAT the Listing Agreement with the BSE in connection with the listing of the companies shares in accordance with SEBI Regulations and dealing in .......Equity Shares of Rs...each on the said Stock Exchanges be executed under the Common Seal of the Company

Further resolved that the Directors ...........and ...........,and the Company Secretary......................... shall execute the needful documents.
