ESOPs clause in AOA

Dear All,

While Section 62(1)(b) permits issuance of ESOPs, what is the prevailing practice regarding inclusion of an enabling clause in the AOA? Is it mandatory or just a matter of good governance?

This query is w.r.t small startup company with two indiviual shareholders.
