Procedure for redemption of preference shares -reg

Dear Members, 

If a company want to redeem its preference shares 

Do it require to conduct general meeting 

or

else it can redeem the preference shares with the approval of Board of Directors. 

Further kindly can any one say me the procedure of redemption of preference 

Even Kindly help me out in below two cases:

Case I: Redemption of Indian Preference Shareholder.

Case II : Redemption of Foreign Preference Shareholder. (money received on repatriation basis) 

Here in Case II do we require to take any approvals of RBI for repatriation of money.

From May 1, 2007 a company cannot issue non-convertible preference shares or debentures to foreign persons.

Dear friend, 

Is it possible to you to provide any circular regarding the same. 

and one more doubt here the company is redeeming its preference shares. if the company wants not to convert but to redeem can it do so.
