Procedure for Change in Name & Object Clause of Company

For change in Name and Object Clause of the Pvt Company, which govt Body's approval is required? Please semd me the procedure.

Dear Deepti,

 

For change of name and object, you have to file forms with ROC only. First, file 1A for name availability. After that hold EGM and file Form 23 ( for change of name and object clause) and Form 1B for name approval. ROC will send the fresh certificate for name and object change.

Can anyone help me with a similar problem.

A private co. is changing its name and object clause. As per the above instructions I have already prepared form 1A and 1B and the other resolutions.

 

However, My query is whether the co. also needs to alter its AOA since the AOA of the concerned Co. is silent on the same

The Company need not to alter its AOA, Because where the article are silent then the provisions of Table A shall automatically apply until it is excluded i.e. there is a exclusion clause in the article that the provisions of article shall no applicable to the Company.

It is not required to alter the AOA, but the new AOA (with change name of the Company) required to file with 1 B and form 23
