Dear All,

A private limited company was incorporated in 2001 with subscribers A,B, C and D. The Company was taken over by other individuals (X, Y and Z) through share transfer in 2008. Consequently, A, B,C and D were no longer the shareholders of that company. As per proviso to rule 3(1) of the Companies (Management and Administration) Rules, 2014, particulars of register of members maintained under Companies Act, 1956 is to be transferred to Form MGT-1.

Provided that in the case of a company existing on the commencement of the Act, the particulars as available  in the register of members maintained under the Companies Act, 1956 shall be transferred to the new register of members in Form No.MGT-1 and in  case additional information required as per provisions of the Act and these  rules, is provided by the members, such information may also be added in the register as and when provided.
 
Query: Whether details of erstwhile shareholders (A, B C and D) are to be entered in the Register of Members in Form MGT 1 under Companies Act, 2013?
