Dear All,

Section 173(1) of CA 2013 provides for calling minimum four Board meetings in a year in such a manner that not more than 120 days shall intervene between two Board meetings.

Under new Act, is it mandatory to call quarterly Board meetings, or if a company which hold its last Board meeting on 25.03.2014 may call its next Board meeting by 10 or 15 July, 2014.

Kindly suggest.

No.  There should be one board meeting between april 14 and June 14    and the gap between previous meeting should not be more than 120 days.

Please clarify how you came at understanding that there should be one meeting between april 14 and june 14.

A minimum of 4 meeting of the Board of Directors is required to be held every year with a gap between the 2 consecutive meetings not exceeding 120 days.

There is no requirement of holding the meeting every quarter; the only requirement is that not more than 120 days shall elapse between two consecutive meeting.

Agree with Mr. Aseem, the only requirement is 4 meetings in a year with a maximum time gap of 120 days.

Exactly Mr. Mahajan. I fully agree with your view.
 
 
But I would urge that if someone is putting any views, he/she should support his views. Its my view that, if any learned member is saying something, there must be something behind that. I still want Mr. Rao to clarify his understanding regarding this matter, so that we all may understand his expert opinion.

Exactly Vandana, but my view about Mr. Rao mail "There should be one board meeting between April 14 and June 14 " because every company has to file MGT 14 with MBP 1 the MBP1 has to be put in the first BM of the company for that purpose only Mr.Rao has told. This is my presumption.

If it is that, then where it is written that MGT 14 for MBP 1 has t be filed by June 14?

What is the meaning of "every year" used in the section 173 of NCA, 2013.

In earlier section it was clearly mentioned as "Calender Year".

Please comment.

yes of course it makes difference due to 120 days gap between two meetings. possibilities are there that only 3 meetings can b held in a year. To avoid that there is need for mentioning of year.
