suggession for Effective date of resigation of director required

Kindly give some solution,

what would be effective date of cessation of director???  , if the director expires on 26.08.2014 (as per death certificate ) but intimation of the same received to company after two month latter dt. 28.09.2014 and company have only minimum combination of director.

in case of death ...the effective date is the date of death....no choice but pay additional fees
