there is no requirement to file SH-4 ? is this true

SH-4 is related to transfer, Sh-4 needs to prepare, where all the details of transferor and transferee is mention along with details of security, Company just need to take note of  it in Board resolution in case of unlisted companies, and update it in the members register. also make an entry in sharecertificate.
