Chairman of CSR Committee

Please guide me that whether the chairman of CSR committee would be an independent director or not.

no such requirement. He may be executive director or even the chairman of Board/ Company can be chairman of CSR Committee.

As per rule 5 (ii) , a private company having only two directors on its board shall constitute CSR committee with two such directors.

For further clarification , read rule - 5 of the companies (CSR Policy) rules,2014.

In short, its not necessary to have independent director in case of unlisted public co. and pvt. co.

Yes if u are not required to appoint ID than any 2 directors can form CSR Committee.
