Debenture Issue- Valuation Report

Dear Members,

There is a private company who is going to issue Secured Redeemable Non- Convertible Debentures against the charge of an Assets (Furnitures). 

wanted to check whether Valuation of goods i.e Furniture is required or not ?

As per my Knowledge the valuation report has to attach in forms GNL-2 and CHG-9. 

Kindly Suggest.

And if some is having the full procedure of same, please share it would be a great help..

As far as i know section 180 (1) (a) is exempted for private company.

That will depend on your debenture holder. If they ask you then yes otherwise not. 

These terms must be present in your debenture trust deed or term sheet.
