Typographical Error in Corporate Subscriber Name in MOA

Hi ,

In one of our recently incorporated companies, the subscriber to the Memorandum of Association (MOA) is a corporate entity (parent company). However, there is a typographical error in the name of the parent company as mentioned in the subscriber sheet of the MOA.

The mistake is only in the spelling of the name, while other details such as CIN and identity of the subscriber remain correct. The error appears to have occurred inadvertently at the time of incorporation.

Looking for guidance on how such cases are generally handled in practice.

Pass a Board Resolution acknowledging the clerical spelling error and confirming the correct name via the CIN.

2. Obtain Shareholder Approval via a Special Resolution to adopt a "Restated MOA" with the corrected spelling.

3. File Form MGT-14 with the Registrar of Companies (ROC) to officially bring the corrected document on record.

Only for resolutions covered under Section 117 and 179(3) MGT-14 can be filed. Both sections does not cover these corrections.

in my case din is deactivated due to non filing and further the for filing dir kyc it is asking for associate dsc but for that the directors email id is not working and for giving otp email is not existing

in this situation 

1. how to activate the din as it is asking for associate dsc

2. change the directors email in portal to received otp

as i am not able to incorporate the llp because of this

You can file DIR-6 to change email id and if needed you can also change mobile number. And after that try to file DIR-3 KYC. Then may be DIN is deactivated.
