Job Purpose: (Brief & specific summary of why does position exists and what value it adds to the organization)
The role holder is to work independently as Company Secretary and handle all requirements of the job. This position reports to CEO in India.
Responsibilities: (key result areas for which only this role is accountable)
1. Compliances under Companies Act and filing of various statutory return(s) / Form(s)
2. Conducting Board / Committee meetings and preparation of the agenda / minutes of the
    meeting
3. Follow-up action on decisions of Board Meeting and AGM, collating information and writing
    reports, ensuring decisions made are communicated to the relevant company stakeholders.
4. Reviewing legal and regulatory developments in relation to the operations of the Company
5. Dealing with ROC/RD/MCA office
6. Ensure all corporate compliances & Governance
7. Co-ordination with Secretarial Auditor, financial auditor, lawyers and external regulators.
8. Advice from time to time Board of Directors and Senior Management on matters relating to
    Company law, taxation and other legal matter.
9. Preparation and maintenance of Secretarial Records of companies viz., minutes of Board
    Meetings and Annual General Meetings, Extraordinary General Meeting, Statutory Books and
    Registers.
10. Maintain Compliance under FEMA & foreign trade
11. Draft & review various commercial agreements and contracts and company policies
12. Analyse the budget for CSR. Monitor and report to Board on CSR fund utilization.
12. Support to Accounts Team
Requirements
Educational Qualification (degree, training, or certification required)
B.Com (Accounts) and Qualified company secretary and member of The Institute of Company Secretaries of India (ICSI)
Experience (technical, functional, and/or leadership experience required)
6 – 8 years experience in manufacturing industry
Competency (key functional, leadership, or business competencies required)
 Working knowledge of ERP is appreiciated
 Rigorousness and strong organization skills
 Team work spirit
 Honest, reliable and trustable
 Proactive and initiative spirit Command over working on Windows OS and MS Office applications
 Should possess excellent command over written and verbal English communication.
Preference:
 Only Female candidate is preferred.
