ESOP is Preferential Allotment or not?

Please guide me :
 
1. Whether grant of option in ESOP comes under the defination of preferential allotment or not?
2. Whether the Preferential Allotment Rules will be applicable at the time of grant of option in ESOP or not??
3. If yes, then how listed companies will comply with the pricing creteria?

Dear Neeti goel

ESOP is regulated by SEBI ESOP guidelines 1999 and it won't be considered as preferential allotment.
