Sweat Equity shares as Private Placement basis

Dear Experts,

Can we issue the sweat equity shares on private placement basis ?

Is there any such possibility & whether any member has thought for doing so ?

i believe sweat equity shares can't be issued under Private Placement route as Section 54 of CA, 2013 along with Companies (share cap and debuntures) rules, 2014 exclusively deal with these shares
