Transfer of shares from Non resident to Non resident

Can anyone provide me procedure for transfer of shares from Non resident to Non resident considering the provisions of Companies Act and FEMA.

No approval required under fema. The transferor will give notice to the company intending to transfer its shares,If transferee is non member , then share are offered to existing shareholders in their proportion,if they renounce then it will be offered to outsider otherwise pre emption clause not apply, then he will execute the sh-4 and get get it witnessed and stamped with  .25/100 x value of shares and delivered the same to the company along with share cert within 60 days and then company will in the BM approve the transfer and allot share within 30 days.Keep in mind that consideration be paid to transferee.
