Change in Board of NSE Registered Company

Dear Member,

Cany one help on my query.

A Pvt Ltd Co is registered with NSE, we are willing to change the Board for which prior approval is required. The Draft of Board Resolution from NSE is attached wherein it is mentioned as follows;

Appointment of Mr. / Ms. _____ (name of the incoming director) from the Directorship

 “RESOLVED THAT pursuant to the provisions of Section 152 of the Companies Act, 2013, the Companies (Appointment and Qualifications of Directors) Rules, 2014 and other applicable laws for the time being in force, the appointment of Mr. / Ms. ____________ as director of the company be and is hereby accepted.

 RESOLVED FURTHER THAT Mr. / Ms. ______ (Name of Director) (DIN - ____) and Mr. / Ms. ____ (Name of Company Secretary) be and are hereby authorized to do all such acts, deeds and things as may be necessary to give effect to the aforesaid resolution.”

We need to take prior approval from NSE for such change.

I wanted to know whether the appointment will be considered from the Board Resolution Submitted to NSE for application for such change or we need to again hold Board Meeting once we get approval from NSE?

I am not sure about the question as to how a Pvt Ltd co shall be regd with NSE.  presuming it is for a listed company, the following documents could be relevant

Can a Private Company be listed on NSE?

Shares of "Private Limited" companies are prohibited from any invitation to the public to subscribe for any securities of the company thus it is not listed on any stock exchanges.
