Appointment of Company Secretary under Companies ACt, 2013

Under Companies Act, 2013 is there any specific section or rule, which provide for the Appointment of Company Secretary as it was specified under old Act (Section 383A).

the (appointment  and remuneration of Managerial personnel ) Rules.

The Rule 8 says a Company which has a paid up share capital of  5 crores or more shall have a whole time company secretary.

is this clear. Do you want any other information.

Santhosh Sir, As per rule 8 of Companies (Appointment and remuneration of Managerial Personnel) rules, 2014 'Every listed Company & every other public company having paid up capital of 10 crore or more shall have whole time key managerial personnel' . This means only Listed Company & Public Company having paid up capital of Rs. 10 crore or more require to appoint Company Secretary?

Whether limit of paid up capital has decreased from 10 crore to 5 crore? is there any Notification or Circular of MCA in this regard?  

Whether Private Company having paid up capital of Rs. 10 crore or more needs to appoint Whole time Company Secretary?

Refer Rule 8A there it is written any company having a paid up capital of Rs. 5cr or more need to appoint a whole time cs. CIrcular came on 09/06/2014 you can check the same on mca website. Hope now the point is clear.

Dear Bijal, Pvt co is required to appoint CS as per rule 8a of Companies (appt and remuneration of MP) Amendment rules.

even a public company having a paid up capital of 5 crore or more is required to appoint CS

every listed co is required to appoint whole time KMP irrespective of its paid up capital
