Casual Vacancy of Auditor By Resignation

Dear Members.

The Auditor has resigned from the office and new auditor needs to be appointed pls guide the process for appointment of new auditor. As per section 140 (2) & sec. 138 (8) of CA, 2013 , the vacancy caused due to resignation to be filled within 30 days by Board subject to approval of members within 3 months of appointment. Whether Appointment Letter can be issued by Board and later on the approval of the member can be taken. What would be the date of event ? Do we need to file MGT 14 for the same.

Please help its urgent.

1. Get resignation letter & NOC

2. Take note resignation in Board meeting & decide date/time of EGM 

(Sec-139 (8) (i)

3. Pass Ordinary Resolution in EGM

4. File Form ADT-3 for resignation of existing auditor

5. File Form ADT-1 for new auditor

No need to file MGT-14

agreed with Vimal Sir.. plus appointment letter needs to be given by the Board mentioning therein date of egm.. like you have been appointed as stat auditors of the company by the members in EGM held on so and so date..

Dear All

                         Greetings of the Day.

ADT-1 does not get filed as when i enter period of accounts for audit of accounts of 2013-174, the form gives error that please file form 23 B for period of accounts starting from 01/04/2013 as in my case auditor resigned on August 1, 2014 and new auditor appointed for audit of accounts for 2013-14.

Please advice

In point 7 of ADT 1 , it is asking for "SRN of relevant form". which SRN it is talking about ?

Prior to filing of Form ADT-3, ADT-1 has to be filed by the resigning Auditor.
In point No.7 of ADT-3 it is asking for SRN of ADT-1 of resigning Auditor.

Trust it clarifies.
