Dear Experts

Can Company Secretary can sign the Board Resolution ?

Can the Board delegate the power to sign the Board Resolution to CS in any case?

It is okay. But Can the CS sign the Board resolution giving the Authority to give be Designated Partner to Director in the incorporation of a New LLP?

No that is not not possible, CS can only sign the documents with regard to company in which he is appointed and company in which the company is either subsidiary or JV. In your case, i dont think a CS should sign..

Dear Experts

The Query is , Mr. A is a CS in whole time employment of XYZ Limited and Mr. X is a Director of that company.

Then Can the CS sign B.R. authorizing Mr. X to be Designated Partner on behalf of the XYZ Limited to incorporate the New  LLP ?

In New LLP, XYZ Limited shall be Promoter and the Mr. X be nominee of that Company.

Yes, it can be done.

 

(Please don’t use word ‘signing’ of resolution. A Director/CS only issues ‘Certified True Copy’ of a resolution already passed by BOD/Members in AGM/EGM)

Dear Alpesh Ji,

Yes, a CS can be given "Certified" true copy of Board Resolution in this regard. As we are using word "Board Resolution" it mean the same has already been passed by the Board of the Company and CS is just giving or certifying the copy of resolution as already passed in the Board Meeting.

Yes can sign.
But it is advisable to obtain a common board resolution from the Board authorising CS to sign on behalf of the company.
