Dear Friends

We took CA certificate for valuation of Share issued to NRI in Feb 2013 for allotment made in feb, 2013. Now another allotment is being done in July-2013 so can we require to take new CA certificate for valuation of shares  or Valuation certificate for Feb-2013  will be sufficient. The projected cash flow and other details are same as assumed in Feb-2013.

Dear Mr.Sameer

You can use the same certificate,  valuation certificate  will valid upto 6 months from the date of issue.

is their any Circular/Notification which states that the valuation Certificate valid upto 6 months from the date of issue.

Even though figures are same , the allotment dates are different . Hence , you have to get separate certificates mentioning each allotment separately.

Dear Sameer,

CA Valuation certificate is accepted by RBI for FCGPR Filings, if the allotment date and the valuation certificate date difference is not beyond 6 months.(i.e if date if allotment is during July 2013-CA valuation certificate which is not older than 6 months i.e before January 2013 certification is not acceptable)

Dear friends even i too faced same issue recently. Take new certificate. coz  calculations of shares will change. So Same certificate will not be enough.  though the face value calculation comes same.

Now tell me...if you take the last certificate as base.... in the last CA  when you do the calculation of face value of the shares  you will not include the shares which are allotted after issuing of the valuation certificate.

so the valuation calculation will not match. Banker will not accept.


you cannot use the same CA certificate .Take new one.

Dear Friends,

I have a query on the date on which the valuation certificate to be obtained for filing Form FC GPR. 

Is there any requirement that the valuation certificate needs to be obtained before the funds are transferred for allotment of shares or can it be obtained before allotment of shares.

Please clarify .

The certificate should be dated on or before the date on which letter  of offer is approved by board.
