Incorporation of Company with NRI directors & subscribers

Hi everyone,

I have a few queries regarding incorporation involving NRI subscribers/directors:

1. In a company where there are 2 Indian and 2 NRI subscribers (the NRIs being outside India at the time of signing), is it acceptable if the MOA, AOA are signed using DSC by the 2 Indian subscribers, while the 2 NRI subscribers sign the MoA, AOA physically? Is this practically accepted? Or all sign required 

2. For the NRI subscribers/directors, is PAN or undertaking of PAN mandatory?

3. Is DIR-2 required to be submitted for NRI directors? If yes, does it need to be apostilled?

Would really appreciate guidance from anyone who has handled a similar case. Thanks in advance!

Hi,

If NRI is signing any documents outside India all the documents needs to be appostiled 

MOA AOA should be physically signed , DSC attestation is not allowed

NRI will not have PAN as its Indian identification document , you can use Passport instead

DIR2 needs to be prepared and signed and appostilled
