Regularization of Additional Director | Private Company | Sec-160 Companies Act-2013

Dear Members

We are a private company; need to regularize our Additional Director (as appointed in July 2013) at ensuing Annual General Meeting (as our AOA has given power to BOD to appoint Additional Director)

Now we are supposed to follow by Sec-160 CA-2013 so we would require:

1.       Consent in DIR-2

2.       Notice of candidature from member or alternatively by director also

3.       INR 100,000 to be deposited  ( could be refunded as per sec 160 of CA-2013)

4.       Pass ordinary resolution

5.       File return of appointment  ( DIR-12 with  consent ) of such director to ROC

 

One more thing : As per my understanding Additional Director may be appointed as Additional Director at Board Meeting by the BOD for extending  his tenure rather than to go for regularization at ensuing general meeting . This would require resolution in BR ,with consent in DIR-2 & Return to ROC in DIR-12

It is requested to validate the said proposals  and  let me know, if I am incorrect on any fact.
