Change of Folio Number - Urgent

Dear All,

In a pvt ltd company there are three share holder with folio Number as 1,2,3 respectively.

But if we want to change the Ledger Folio to A1, B1, C3 will that be possible??

Can some one share a board resolution on the same??

Board resolution is not required.

you can directly modify the folio numbers

Dear Friend,

 

Change in folio no. will influence following;

 

1.       The Company must have issued the share certificates with the Folio Nos.

 

2.       The Register of Members will contain such folio nos.

 

3.       The Annual Returns of the Company filed with the ROC contains details of shareholders with folio nos.

 

Please put up the matter before the Board and pass a resolution authorizing a director/CS to make alterations in the Statutory registers and share certificates. However, I don’t have any format of such resolution.

if shares certificates are not issued or printed then u can do it with out noting it anywhere.

But the annual returns of the company discloses about the changes being made in the Folio Number.

How can we go ahead with changing the folio numbers in Statutory Registers as well as the change in share certificates??

Company is couple of decade old, share certificates were issued in the old format and things are updated

Okay then y u want to change the folio numbers now?

u cannot do it now as you have filed the annual returns with the RoC and updated the registers.
