Dear Friends,

I have two doubts regarding resignation of Company Secretary. 

a).Whether the resignation letter is mandatory to attach in E form 32
b). When is the effective date of resignation either on the date of resignation letter or else date of acceptance of the board.

It is quite urgent kindly help.

I have another doubt regarding EGM Notice.

Whether it is mandatory to place EGM notice in the board.

Dear madam,

It s necessary to obtain a letter of resignation from the Company Secretary and to attach the same in form 32...and effective date of resignation will be the date of acceptance of resignation by the board...

Kindly clarify, if a CS is removed from employment due to his misconduct or physical incapacity or absence from employment, then obtaining resignation letter is not possible. So in my opinion, a Board Resolution stating in detail the reasons for such removal from is service would suffice.

In e-Form 32 help kit, it has been stated as In case cessation, it is mandatory to attach the supporting evidence in ‘Evidence of cessation’ and not resignation letter.

The effective date of removal of service (being in the absence of the resignation letter) will be from the date mentioned in the Board Resolution.

It is mandatory to place the draft of the EGM Notice at the Board Meeting which is convened to decide the venue, date and time of such EGM. In the absence, the venue, date and time shall be decided and later the EGM Notice shall be approved either through passing resolution by circulation or at a Board Meeting.

It is necessary to obtain resignation for cs also.  The date will be effective from the date of resignation letter indicated by the cs and not acceptance by the Board.  The Board has to accept the date as requested by the CS.

Even in case of resignation of a cs, letter is a must, otherwise the form will not do check stage, In case of induction, it will take, but for resignation letter of cessation is a must.

yes resign letter is mandatory and you have to scan the letter while filling the form-32 for removal of cs.
