Section 2(52) Listed Co., means which "SECURITIES" are listed on RSE.

Meaning of Securities is defined in Securities and Contracts Regulation Act,1956 Section 2(h) says that Securities includes, shares,Stocks, Debentures..............

So I conclude that Even PRIVATE CO., if lists its Debentures it should be treated as LISTED CO.,

Sec.2(52) of CA, 2013, Listed Company means any company which has any of its securities listed on any recognised stock exchange.

Yes, you concluded right. Even a private company listing its debentures then that private company is also listed company.

It is correctly concluded as on date, but after passing of CA Amendment Bill, 16, the for the words Listed Company, the words Public Listed Company shall be substituted..

Yes, Definition of listed company is not proposed to be amended in the Cos. amendment Bill, 2016. Therefore, the definition of listed company will remain same.

I agree. As of now, combined reading of definition under the companies Act 2013 and Securities Contract Regulations Act, a private company listing its wholesale debt instrument is also covered as listed company under the defiunition

Dear Gopal Sir, Plz clarify the issue on "Who is KMP and NOT" which is discussing on this group.

i.e. MD/WTD/CS/CFO/Manager appointed by NOT classed Co., Is it be treated as KMP or NOT?
