ISSUE OF SHARE CERTIFICATE AFTER INCORPORATION

As per the provisions of Section 56 (4) ...............Every company shall, unless prohibited by any provision of law or any order of Court, Tribunal or other authority, deliver the certificates of all securities allotted, transferred or transmitted—

(awithin a period of two months from the date of incorporation, in the case of subscribers to the memorandum;


Question: If the subscribers have not paid the subscription amount within 2 months of incorporation, is it also mandatory to issue share certificate even without the subscription amount?

Share Certificate is to be issued, whether or not share subscription money is paid by subscribers.

stamp duty has to be paid for such share certificates? ( issued for initial subscription)
