Share Certificate endorsement

Dear Professional Colleagues,

Pl. clarify my doubt about Endorsement of Share Certificate.


One of our client incorporated a private company in 2005. Share
Certificates also issued to all the subscribers. One of the subscriber
say 'A' transferred her shares to promoter of the said company say '
B' in mid of 2007.


As per companies Ac, above share transfer was made & A's name also
removed from the register of members.

Earlier this month, the said Company was takeover by another company.
and all shares were transferred to new company without issuing new
share certificates is it right ?

on behalf of B share holding, company make endorsement in A's
certificate it is right ?

Pl. clarify my query.

Hi,

the name of the original shareholder not changed in case transfer. the name of transferee and authorized person sign show at the endorsement column So, in case takeover of the company, the original share certificate is valid. please check endorsement entries on that
