Urgent- Redesignation of Whole time Directors

Dear All,

 

In the case of a listed company which has a Managing Director and  two Whole time Directors, due to organizational restructuring the whole time directors get re- designated  as Joint Managing Director and Deputy Managing Director but their duties, power and remuneration remain the same.
 

 My query is do we have to file Form 32 with ROC. If yes, then in the Form 32  we have designation with  few options should I choose Managing Director or Whole time Director.

 

Please suggest.

Dear Ranjana

As their designation has changed, you will file Form 32 for Change in deisgnation. As there is no option of Joint MD or Deputy MD in the Form, I think you should choose MD as deisgnation in the Form.

I agree with the views of other member friends. Additionally if it's public limited company, I would suggest get the approval/ ratification of shareholders & And also file form 23. As such change in designation, will amount to alteration to the terms of appointment.

yes you have to file form 32 opting change in designation.
