Got a mail from ROC

Dear Friend,

Please check this mail and attached MOA ,Is there any point related to the dificiencies found by MCA..

Kindly share your valuable advise and help me to correct. Its urgent

The forms were sent for resubmission. The stakeholders resubmitted the forms. but still following deficiencies are
found:-
1. As per rule 3(6) of the Companies (Incorporation) Rules, 2014 OPC cannot carry on NBFC related activities
and no OPC can acquire/invest in securities of any body corporate and further OPC cannot issue or allot shares to
anyone except its member. Please remove such objects from MOA
As the maximum chances for resubmission have been
elapsed. Hence the forms can not be taken on recordand marked as BTBR..

Dear Ms. Reena,

I think they have mentioned it because in your MOA at two places you have mentioned paying considerations in share and since you are incorporating an OPC you cannot allot share to anyone other than the member of the company.

Refer point 7 . "To acquire and take over the whole or any part of the business, goodwill, trade-marks properties and liabilities of any person or persons, firm, Companies or undertakings either existing or new, engaged in or carrying on or proposing to carry on business, this Company is authorized to carry on possession of any property of rights suitable for the purpose of the Company and to pay for the same either in cash or in shares of partly in cash and partly in shares or otherwise.

Point 24:  To pay for any property or rights acquired by or for any services rendered to the Company and in particular to remunerate any persons, firm or Company introducing business to the Company either in cash or fully or partly-paid up shares with or without preferred deferred rights in respect of dividend or repayment of capital or otherwise or by any securities which the Company has power to issue or by the grant of any rights or options or partly in one mode and partly in another and generally on such terms and the Company may determine, Subject to the provisions of the Act.

Here the tragedy is that ‘the CRC has rejected the Inc. form’ “As the maximum chances for resubmission have been
elapsed. Hence the forms can not be taken on recordand marked as BTBR…..”

 

 

Reenaji,

 

Did they raised the query first time OR only at the time of rejection? (as I’ve been victim of such a situation in inc. of a Producer Co.)
