Partnership firm can be a shareholder not a member i.e. it can be the beneficial owner of the shares but the registered owner (in the books) shall be the managing partner/authorized partner. Refer Section 89 of Companies Act, 2013 for how to proceed.

Exception: in case of Section 8 company, the partnership firm can become member straightaway. Refer ICSI Guidance note on Section8 companies.
