IS IT MANDATORY TO FILE FORM MR-1 ALONG WITH DIR-12 FOR THE APPOINTMENT OF A COMPANY SECRETARY  IN A PRIVATE COMPANY?

IN RULE 3 OF CHAPTER 13 (APPOINTMENT AND REMUNERATION)

RULE 3 Filing of return of appointment.-

A company shall file a return of appointment of a Managing Director, Whole Time Director or Manager, Chief Executive Officer (CEO), Company Secretary and Chief Financial Officer (CFO) within sixty days of the appointment, with the Registrar in Form No. MR.1 along with such fee as may be specified for this purpose.

kindly GO THROUGH THIS RULE AND LETME KNOW THE EXACT SITUATION WITH REGARD TO MR-1 FOR APPOINTMENT OF COMPANY SECRETARY...

Now, I notice that for appt of Secretary the company will need to file 3 forms

2.DIR-12
3.MR-1

AS SECTION 203 IS NOT APPLICABLE TO A PRIVATE LIMITED COMPANY SO I SUPPOSE ITS NOT MANDATORY TO FILE FORM MR-1

SO RULE SHALL ALSO BE NOT APPILCABLE IN THIS SITUATION

IS MGT-14 ALSO REQUIRED TO BE FILED.....?

Pls check Rules on Chapter XII....powers of the board to be exercised
only in Board meetings....as per that rule appt of KMP is through BR
and these BRs needs to be filed through MGT-14
