Can a Trust or Partnership firm become shareholder in Company

Dear All,

Can a Trust or Partnership firm become shareholder in Company. Are such bodies legal entities. 

What would be the scenario if the such trust or partnership firm is not registered.

Any case laws interpreting section 41 and definition of person in General Clause Act.

Dear Sir,
 
A partnership can not be a member in a company. As per Law, only a person can be a member in company and partnership firm is not a person in the eye of law.So, partners of the firm can become a member in a company but partnership firm can not become member in the company.

Hi,
Just to add all the partners should jointly hold such membership. Incase all partners are not holding jointly such partner holding shall make a beneficial interest declaration that such partner is holding on behalf of all other partners.
