Procedure of Changing the designation from Director to MD

I have query about the appointment fo Managing Director.If a person is already holding the office of director in the Company and the company is private limited company,he wants to change his designation from Director to MD.what are the requirements of change in designation from Director to MD.Pls tell me as early as possible. its urgent.

Hello Yogesh,

You need to pass Board resolution and file form 23 and for 32 for change in designation from director to managing director.

Mr.Yogesh Waingankar,

a. Check the AoA of the Company for any restriction?

b. Obtain consent from the Director to act as Managing Director;

c. Convene Board Meeting and obtain approval for change in desigantion;

d. File Form no.32.

e. Make necessary entries in Register of Directors.
