Position : General Council & Company Secretary
Direct Reporting to : Group CEO or Group CFO
Job Location - Bangalore
CTC Grade & Breakup - 35 LPA to 42 LPA, 80% FIX & 20% Variable
Job purpose:
Handling & directing the functions of Company Secretary & Legal Counsel for Group
and its group companies.
Roles and Responsibilities:
A) Company Secretary:
• Handling all the secretarial matters under Companies Act including Merger and
Amalgamation, Statutory responsibilities, Presentation to foreign Board for approval
& monitor implementation, Corporate governance, Organizational governance,
Supporting the Group CEO/CFO , Communication with Stakeholders, Disclosure and
Reporting amongst other s.
• Advise the Group CEO/CFO on the ramifications of the proposals under the
consideration of the Board. Interacting with Merchant Bankers, Valuers, Financial
advisors, Solicitors, etc. for fund raising/related activities like FCCB/PEs/
Preferential/ECB , etc.
• Act as a confident of the Group CEO/CFO , taking part in the formulation of long - term
and short - term corporate policies including framing of new policies
• Adherence to the compliances of Listing Agreement including as per new SEB I (LODR)
Regulations2015, compliances under Companies Act 2013/1956 & rules made
thereunder, Reserve Bank of India (RBI)and Liasioning with Registrar of Companies
(ROC).
• Accounted for Intellectual Property of the company and its subsidiaries.
• Drafting of S OPs, Corporate Policies (introduced by the Companies Act, 2013) like
Policy for determination of Material Events, Whistle Blower mechanism and Policy,
CSR & Policy on Prevention of Sexual Harassment of Women at Workplace Risk
Management Policy, Code of Conduct, Nomination and Remuneration Policy and
Policy on Determination of Materiality of events and Archival Policy etc. .
• Drafting and Finalization of all kinds of agreements including joint ventures,
consultancy agreements, suppliers, distribution, dealers, licensing agreements etc. .
• Responsible for Entity Level controls under IFCs as required by Companies Act, 2013.
B) Legal:
• Responsible for Legal Cases/Affairs of the Company falling under Negotiable
Instrument Act, Civil Suits, winding up Petitions, Misc. Writ Petitions, Arbitration
matters and other legal matters.
• Led the legal cases of the Company and guided management on potential risks and
legal strategy to be followed in different legal cases aga inst /filed by the Company. Co -
ordination with Legal counsels and driven the outcome and represented the Company
in appropriate courts in different states in India.
• Handled matters regarding Compounding of offences under Companies Act, 1956
• Litigation Issue s - Cases with Suppliers, Employees, Cases in Labour Court, In Delhi High
Court and Supreme Court. Closure of Supplier cases and Labour Cases.
• Handled issues with legal professionals and International Law firms, M&A advisors,
and merchant bankers.
• legal risk assessment: effectuating speedy disposal of issues, settlements &
compromises, litigation, arbitration, land acquisition, title due diligence and related
compliances Rendering advice / suggestion on issues related to Litigation, Non -
Litigation
• Responsible for all cases with District Courts, High Courts and Supreme Court of India.
Cases before IPAB, IPR matters, NIA cases, Consumer Cases, Recovery Suits, and Trust
related cases and so on
